Terms of Service

These Terms of Service ("Terms") govern access to and use of the Skadi, Inc. ("Skadi") website, platform, and related services (the "Services"). By using the Services you agree to these Terms.
1. The Services
Skadi provides an AI-assisted platform for readiness, evidence collection, and SOC 2 examinations. Attestation engagements are performed under a separate engagement letter with the licensed CPA firm of record in accordance with AICPA professional standards.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at security@skadi.ai of any unauthorized use.
3. Customer data and license
You retain all rights in the data you submit ("Customer Data"). You grant Skadi a non-exclusive, worldwide license to process Customer Data solely to provide, secure, and improve the Services and to perform your engagement. Skadi does not sell Customer Data and does not use it to train third-party foundation models.
4. Acceptable use
- No unlawful, infringing, or fraudulent activity.
- No attempts to bypass security, rate limits, or access controls.
- No submission of malware, or of data you lack the right to submit.
- No use of the Services to build a competing audit or GRC product.
5. Fees
Fees, billing frequency, and payment terms are described in your order form or subscription plan. Fees are non-refundable except as required by law or expressly stated in the order form.
6. Independence and professional standards
To preserve auditor independence, Skadi and its engagement partners do not accept engagements that would impair independence under AICPA and applicable state board rules. AI tools support, but do not replace, the professional judgment of the licensed auditor.
7. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own, and not less than a reasonable standard of care. Auditor working papers remain the property of the CPA firm as required by professional standards.
8. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND SKADI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO SKADI IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Termination
Either party may terminate for material breach uncured after 30 days' written notice. On termination we will, on request, return or delete Customer Data subject to retention required by professional standards.
11. Governing law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. Exclusive venue lies in the state and federal courts located in Delaware.
12. Changes
We may update these Terms from time to time; material changes will be posted here with an updated date. Continued use after changes take effect constitutes acceptance.
